1. Acceptance of Terms
By accessing our website, purchasing our services, or installing our automation and workflow products ("Marketplace Products"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use our Services.
"Services" refers collectively to our managed IT services, website, and Marketplace Products distributed through third-party platforms including HubSpot, Shopify, monday.com, and Gumroad.
2. Services Description
Managed IT Services
CMTG provides managed IT services, cybersecurity solutions, cloud infrastructure management, network services, and technology consulting as described on our website. Specific service terms, deliverables, and SLAs are defined in individual service agreements between CMTG and the client.
Marketplace Products
CMTG develops and distributes automation and workflow products through third-party marketplaces. These products integrate with platforms such as HubSpot, Shopify, monday.com, and others to automate business processes, sync data, and extend platform functionality. Marketplace Products are provided "as-is" unless a separate service agreement specifies otherwise.
3. Account and Access
- You are responsible for maintaining the security of your account credentials for any platform through which you access our Services.
- When installing a Marketplace Product, you authorize CMTG to access your platform data within the scope of the permissions (OAuth scopes) you approve during installation.
- You may revoke access to a Marketplace Product at any time through the respective platform's settings. Revoking access will disable the product's functionality.
4. Acceptable Use
You agree not to:
- Use our Services in violation of any applicable law or regulation
- Attempt to reverse-engineer, decompile, or disassemble our Marketplace Products
- Use our Services to transmit malicious code, spam, or content that infringes on third-party rights
- Exceed the rate limits or usage thresholds of connected platforms through our products
- Resell, sublicense, or redistribute our products without written authorization
5. Service Level Agreements
Managed IT Services
Standard SLAs include 99.9% uptime guarantee and 15-minute average response time for critical issues. Detailed SLAs are defined in individual service contracts and take precedence over these general Terms.
Marketplace Products
We strive to maintain high availability for our Marketplace Products but do not guarantee uptime for products that depend on third-party platform APIs. Our products' availability is subject to the uptime of the underlying marketplace platform (HubSpot, Shopify, monday.com, etc.). We will make reasonable efforts to address reported issues within 2 business days.
6. Payment Terms
- Managed IT Services: Payment terms are specified in individual service agreements. Standard terms require monthly payment in advance.
- Marketplace Products: Pricing and billing are handled through the respective marketplace platform or through Stripe. Refund policies follow the marketplace's standard terms unless otherwise stated on the product listing.
- All payments are processed securely through Stripe. We do not store full payment card numbers.
7. Intellectual Property
All Marketplace Products, code, documentation, and related materials are the intellectual property of Cloud Magic Technology Group. Your purchase or installation grants you a non-exclusive, non-transferable license to use the product for your internal business purposes.
Your data remains your property. We claim no ownership over data you process through our Services or Marketplace Products.
8. Data and Privacy
Our collection, use, and protection of your data is governed by our Privacy Policy. By using our Services, you acknowledge and agree to the data practices described therein.
For Marketplace Products, we only access and process the platform data necessary to provide the functionality described in the product listing. We do not sell or share your platform data with third parties for their own purposes.
9. Confidentiality
CMTG will maintain the confidentiality of all client data and information in accordance with industry best practices and applicable regulations. This obligation survives the termination of any service agreement.
10. Disclaimers and Limitation of Liability
To the maximum extent permitted by law:
- Marketplace Products are provided "as-is" and "as available" without warranties of any kind, express or implied, including fitness for a particular purpose.
- We are not liable for any data loss, business interruption, or damages arising from the use of our Marketplace Products, including issues caused by third-party platform outages, API changes, or data corruption.
- Our total liability for any claim related to a Marketplace Product shall not exceed the fees paid by you for that product in the 12 months preceding the claim.
- For Managed IT Services, liability is governed by the individual service agreement.
11. Termination
- You may stop using our Services or uninstall our Marketplace Products at any time.
- We may suspend or terminate access to our Services if you violate these Terms, fail to pay fees when due, or if required by law.
- Upon termination, we will delete your associated data within 30 days, except where retention is required by law or regulation.
12. Changes to These Terms
We may update these Terms from time to time. We will post the revised Terms on this page with an updated "Last updated" date. For material changes, we will provide notice through the relevant marketplace platform or via email. Continued use of our Services after changes take effect constitutes acceptance of the revised Terms.
13. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts located in San Francisco County, California.
